Özet
Pay sahibi, anonim şirket genel kuruluna katılarak oy hakkını kullanmaktadır. Pay sahibi, böylelikle şirkete ilişkin birtakım iş ve işlemlere yönelik iradesini açıklamaktadır. Oy hakkının kullanılması neticesinde şirketin yönetimine dolaylı yoldan katılım sağlanmaktadır. Türk Ticaret Kanunu ve Sermaye Piyasası Kanunu belirli durumlarda pay sahibinin oy hakkına yönelik donma sonucunu öngörmüştür. Bu çalışmada oy hakkının donduğu haller incelenecektir.
Shareholders exercise their right to vote by attending the general assembly of the joint stock company. Thus, the shareholder expresses will regarding certain works and transactions related to the company. As a result of exercising the right to vote, indirect participation in the management of the company is ensured. The Turkish Commercial Code and the Capital Markets Law foresee the freezing of shareholders' voting rights in certain cases. In this study, the situations in which the right to vote is frozen will be examined.
