Özet
Bu çalışmanın amacı Kurumsal Yönetimin Firma Değeri ve şirketlerin Finansal Performanslarına etkilerini analiz etmektir. 1990'lı yıllarda yaşanan şirket skandalları finansal krizler ve büyük şirketlerin kötü yönetim sonucu kurumsal yönetim konusunun tüm dünyada büyük önem kazanmasına sebep olmuştur. Türkiye'de kurumsal yönetim kavramı, özellikle 2000'li yıllarda ülkede gerçekleşen finansal kriz döneminden sonra daha çok önem kazanmaya başlamıştır. Çalışmada kurumsal yönetim konusu Uluslararası ve Türkiye'deki süreç bakımından incelenerek, hem teorik, hem de uygulama açısından değerlendirilmiştir. Çalışmada Panel veri analizi kullanılarak Borsa İstanbul 100 endeksinde yer alan 16 şirketin kurumsal yönetim ilkelerine uyumu şirket performanslarını ve firma değerini nasıl etkilediği incelenmiştir. Bu doğrultuda, kurumsal yönetim endeksinde yer alan şirketlerin firma değeri ve finansal performanslarına etkisi tespit edilmiştir.
The purpose of this study is to analyze the effects of Corporate Governance on Firm Value and Financial Performance of companies. As a consequence of corporate scandals, financial crises and mismanagement of large companies in the 1990s, corporate governance started to gain great attention all over the world. After the financial crisis that took place in Turkey in the 2000s, the concept of corporate governance has started to gain more importance in the country. In the study, the subject of corporate governance has been examined regarding the processes in Turkey and also globally. Furthermore, it has been evaluated both in terms of theory and practice. In the research, we examined the compliance with corporate governance principles of 176 companies in the Borsa Istanbul 100 index and how it affects company performance and firm value by using panel data analysis.In this context, the firm value and the effect on financial performance of the companies which are in the corporate governance index have been determined.
